1. Acceptance of these terms

These Terms and Conditions ("Terms") form a binding agreement between you ("you", "user", or "customer") and HonestDrive, which owns and operates the HonestDrive website, applications, and related services (together, "HonestDrive", "we", "us", or "our"). By accessing the Platform, creating an account, scheduling a test drive, paying a booking token, submitting documents, or otherwise using any feature, you confirm that you have read, understood, and agreed to be bound by these Terms.

If you do not agree to these Terms, you must not create an account or use any transactional feature. Your sole and exclusive remedy for any dissatisfaction with the Platform or these Terms is to stop using the Platform.

These Terms incorporate by reference our Privacy Policy, Cookie Policy, Booking, Cancellation and Refund Policy, Grievance Redressal Policy, and every other policy or notice published on the Platform or presented to you during a specific transaction. Where a signed vehicle agreement or a partner's terms conflict with these Terms for a particular transaction, the signed or partner document controls for that transaction only.

2. Definitions and interpretation

• "Platform" means the HonestDrive website, mobile or web applications, content, and services.
• "Listing" means the description, specifications, documents, inspection data, images, and video presented for a vehicle.
• "Booking Token" means the advance amount (currently INR 1,000) collected to express and hold an intent to purchase an available vehicle.
• "Partner" means any dealer, vehicle owner, payment processor, lender, financer, insurer, inspection agency, or other third party engaged in connection with the Platform.
• Headings are for convenience only; words importing the singular include the plural and vice versa.

3. Eligibility and your responsibility

• You must be at least 18 years old and legally competent to contract under the Indian Contract Act, 1872.
• You must use the Platform only for lawful, personal, non-commercial purposes unless we have agreed otherwise in writing.
• You represent that all information you provide is true, accurate, current, and complete, and that you will keep it updated.
• You are solely responsible for every consequence of inaccurate, misleading, or incomplete information you supply.

4. Accounts and security

• You are responsible for all activity that occurs under your account, email, OTP, or device.
• You must keep your credentials confidential and notify us immediately of any suspected unauthorized use.
• We may verify your identity, refuse registration, or require additional verification at our discretion.
• We are not liable for any loss arising from your failure to protect your account or from your sharing of access with others.

5. Nature of HonestDrive's service

HonestDrive operates a managed discovery and transaction-assistance platform for pre-owned vehicles. Depending on the transaction, we may act as a facilitator, marketing and technology provider, or arranger between you and a Partner, and not necessarily as the principal seller of every vehicle. The legal seller, buyer, price, and our role for a specific vehicle are fixed only by the signed sale documents for that vehicle.

Listings, inspection scores, EMI estimates, price breakdowns, and protection-plan choices shown on the Platform are preliminary information to help you evaluate a vehicle. They do not constitute an offer capable of acceptance, a warranty, or a transfer of ownership, and they do not bind us until a final agreement is signed.

We may add, change, suspend, or withdraw any feature, listing, price, or part of the Platform at any time, without notice and without liability to you.

6. Listings, vehicle information, and used-car condition

• Vehicle information is compiled from records, physical checks, and declarations made by sellers, dealers, owners, or public sources available when the Listing was prepared.
• Every vehicle offered is pre-owned and will carry age-, use-, and history-related wear. Nothing on the Platform is a representation that a vehicle is in new or defect-free condition.
• Photographs, YouTube walkaround videos, inspection scores, and document summaries are indicative only, may not capture every mark, sound, defect, or later event, and are subject to the Inspection and Vehicle Information Disclaimer.
• We may correct pricing, specification, or other errors, and may cancel or refuse a transaction affected by an obvious error, at any time before a final sale agreement is signed.
• You are responsible for satisfying yourself through inspection, test drive, document verification, and independent advice before you purchase.

7. Bookings, the Booking Token, and payments

To reserve an available vehicle you may be asked to pay a Booking Token, currently INR 1,000, processed by PhonePe. The amount shown on the checkout screen applies.

A Booking Token is an advance toward your intended purchase. It is not the full vehicle price and does not by itself transfer ownership, guarantee availability, or oblige us or any Partner to complete a sale. The remaining price, taxes, registration, add-on charges, financing, delivery, and other terms are confirmed separately.

A booking is treated as paid only after server-side confirmation of the payment. Pending, abandoned, expired, duplicate, or failed orders are not confirmed bookings. Cancellation, refund eligibility, and timelines are governed by our Booking, Cancellation and Refund Policy.

You authorize us and our payment processor to collect, verify, and reconcile payment information for your transaction and to take reasonable action to prevent and investigate fraud or chargeback abuse.

8. Finance, insurance, and other Partner services

• Loan, KYC, insurance, warranty, protection-plan, and similar services are provided by regulated or independent Partners and are governed by their own terms, eligibility criteria, and approvals.
• HonestDrive collects and forwards an enquiry with your consent. We do not lend, underwrite, or guarantee approval, interest rate, loan amount, premium, issuance, or disbursal, and any EMI shown is an estimate only.
• A Partner's decision, delay, refusal, or conduct is the Partner's responsibility, and your dealings with a Partner are solely between you and that Partner.
• You must review and accept the Partner's key facts, charges, and terms before relying on a Partner service.

9. Test drives

Test drives are offered subject to vehicle, staff, location, and road availability and to our Test-Drive Terms and Safety Rules. We may verify your licence and identity and may refuse, reschedule, or cancel a test drive for safety, operational, or eligibility reasons.

You are responsible for driving lawfully and safely during a test drive and, to the extent permitted by law, for loss or damage caused by your misuse, negligence, or breach of those rules.

10. Intellectual property

The HonestDrive name, logo, brand, design, text, graphics, listing compilations, inspection formats, software, and all other Platform content are owned by or licensed to us and are protected by intellectual-property laws. We grant you only a limited, personal, non-exclusive, non-transferable, revocable licence to access the Platform for its intended purpose.

You must not copy, reproduce, scrape, republish, frame, resell, or create derivative works from any Listing, media, or Platform content for commercial use without our prior written permission. All rights not expressly granted are reserved.

11. Your content and submissions

When you submit content, including enquiries, feedback, ratings, reviews, or images, you confirm you have the right to do so and that the content is accurate and lawful. You grant HonestDrive a worldwide, royalty-free, perpetual, irrevocable, sub-licensable licence to host, use, reproduce, adapt, publish, and display that content for operating, promoting, and improving the Platform.

We may, but are not obliged to, moderate, edit, or remove any content we consider false, abusive, infringing, unlawful, or otherwise objectionable, without notice.

12. Acceptable use and prohibited conduct

• Do not submit false, forged, or misleading identity, payment, income, ownership, vehicle, or document information.
• Do not use the Platform for any unlawful, fraudulent, or unauthorized purpose, or to offer a stolen, encumbered, unsafe, or unlawfully modified vehicle.
• Do not copy, scrape, harvest, or commercially reuse Listings, media, or data without permission.
• Do not attempt to bypass security, probe vulnerabilities, introduce malware, overload, disrupt, or reverse-engineer the Platform, or interfere with another user.
• Do not impersonate any person, misuse another account, or use the Platform to harass, defame, or harm others.
• You will indemnify us for any breach of this section, and we may report unlawful conduct to the authorities.

13. Suspension and termination

We may suspend, restrict, or terminate your access to the Platform or any feature, remove your content, or cancel a transaction, at any time and at our sole discretion, including where we reasonably suspect fraud, misuse, risk, inaccurate information, non-payment, or a breach of these Terms or applicable law. Where practicable we will act proportionately, but we are not required to give prior notice.

Termination does not affect rights or liabilities that accrued before it, and any provision that by its nature should survive (including ownership, disclaimers, limitation of liability, indemnity, and dispute resolution) will survive.

14. Disclaimers

The Platform and all content, listings, scores, estimates, and information are provided on an "as is" and "as available" basis, without warranty of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, title, or non-infringement, to the maximum extent permitted by law.

We do not warrant that the Platform will be uninterrupted, error-free, or secure, or that any vehicle information, inspection score, EMI estimate, or third-party service will be accurate, complete, available, or suitable for your purpose.

Any statutory rights or guarantees that cannot be excluded under applicable Indian consumer law are not affected by this section.

15. Limitation of liability

To the maximum extent permitted by law, HonestDrive and its directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive loss, or for any loss of profit, revenue, data, goodwill, opportunity, or anticipated savings, arising out of or in connection with your use of the Platform or any transaction, whether based on contract, tort, statute, or otherwise, even if advised of the possibility of such loss.

We are not liable for any act, omission, decision, delay, default, misrepresentation, or conduct of any Partner, seller, buyer, dealer, lender, insurer, payment processor, hosting or media provider, or public authority, or for any matter outside our reasonable control.

To the maximum extent permitted by law, our total aggregate liability to you for all claims arising out of or relating to the Platform or a transaction will not exceed the Booking Token amount actually paid by you to HonestDrive for the transaction giving rise to the claim, or INR 1,000, whichever is lower. Nothing in these Terms limits liability that cannot lawfully be limited, including liability for fraud or for death or personal injury caused by our proven negligence.

16. Indemnity

You agree to indemnify, defend, and hold harmless HonestDrive and its directors, officers, employees, and agents from and against all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to your use of the Platform, your content or information, your breach of these Terms or any policy, your violation of any law or third-party right, or any transaction or dispute between you and a Partner.

17. Third-party services and links

The Platform integrates or links to third-party services such as PhonePe, Cloudinary, YouTube, Google Analytics, lenders, and insurers. Those services are governed by their own terms and privacy practices, and we are not responsible for their content, availability, or conduct. Your use of a third-party service is at your own risk.

18. Force majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disaster, fire, flood, epidemic or pandemic, war, riot, strike, government action, power or network failure, or payment-processor or hosting outage.

19. Changes to these terms and the service

We may amend these Terms or any policy at any time by posting the updated version on the Platform with a revised effective date. Material changes take effect when posted unless stated otherwise. Your continued use of the Platform after a change constitutes acceptance of the updated Terms, which you should review periodically.

20. Governing law, jurisdiction, and dispute resolution

These Terms and any dispute or claim arising out of or in connection with them, the Platform, or a transaction (including non-contractual disputes) are governed by and construed in accordance with the laws of India.

Subject to the arbitration provision below, the courts at Jamshedpur, Jharkhand, India will have exclusive jurisdiction, and you irrevocably submit to that jurisdiction. The parties will first attempt to resolve any dispute amicably through the Grievance Redressal Policy within thirty (30) days of written notice.

Any dispute not resolved amicably will be referred to and finally settled by arbitration by a sole arbitrator mutually appointed by the parties, or, failing agreement, appointed in accordance with the Arbitration and Conciliation Act, 1996. The arbitration will be conducted in English, with the seat and venue at Jamshedpur, Jharkhand, and the award will be final and binding. This clause does not prevent either party from seeking urgent interim relief from a competent court.

21. General

• If any provision is held invalid or unenforceable, the remaining provisions continue in full force, and the invalid provision is modified to the minimum extent necessary to be enforceable.
• Our failure to enforce any right or provision is not a waiver of that right or provision.
• You may not assign or transfer your rights or obligations without our prior written consent; we may assign ours to an affiliate or successor.
• Nothing in these Terms creates a partnership, agency, employment, or joint venture between you and us.
• These Terms, together with the policies incorporated by reference and any signed transaction document, constitute the entire agreement between you and us regarding the Platform and supersede prior understandings.
